1. Acceptance of Terms

By accessing or using the Vanikan ("Service"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Definitions

Service: The software-as-a-service point of sale system provided by Vanikan. User: An individual or entity that has an account with Vanikan and accesses or uses the Service. Account: The account registered by the User to access the Service.

3. User Accounts and Responsibilities

Registration: Users must register for an account by providing accurate and complete information. Account Security: Users are responsible for maintaining the security of their account and are liable for any activities conducted through their account. Prohibited Uses: Users agree not to use the Service for unlawful purposes or in a way that violates any local, national, or international law or regulation.

4. License and Access

Vanikan grants Users a limited, non-exclusive, non-transferable license to access and use the Service according to these Terms. This license does not allow Users to resell or sublicense the Service or its components without prior written consent from Vanikan.

5. Fees and Payments

Subscription Fees: Users are required to pay subscription fees based on the selected plan. Fees are due in advance on a recurring basis (monthly or annually).
Taxes: Users are responsible for any applicable taxes related to their subscription.
Refund Policy: Fees are non-refundable, except as required by applicable law.

6. Service Availability and Updates

Service Uptime: Vanikan will use commercially reasonable efforts to provide 99% uptime. However, maintenance, upgrades, or other factors may lead to temporary interruptions.
Updates: Vanikan may update or modify the Service at any time. Where possible, Users will be notified of any significant changes that may affect their use of the Service.

7. Data and Privacy

Data Collection and Usage: The Service collects certain data from Users to provide functionality and improve the Service.
Data Ownership: Users retain ownership of the data entered into the Service, but grant Vanikan a license to use the data solely to provide and improve the Service.
Data Security: Vanikan will implement reasonable technical and organizational measures to protect User data. However, no system is completely secure, and Vanikan cannot guarantee the absolute security of User data.

8. Intellectual Property

The Service, including all content, software, and technology, is the property of Vanikan and its licensors.
Users are not granted any rights to use Vanikan's trademarks, logos, or other intellectual property without prior written consent.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." Vanikan disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Vanikan shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Service. In no event shall Vanikan's total liability exceed the amount paid by the User in the last twelve months.

11. Indemnification

Users agree to indemnify, defend, and hold Vanikan harmless from any claims, damages, liabilities, and expenses arising from their use of the Service or violation of these Terms.

12. Termination

By User: Users may terminate their account at any time by contacting customer support.
By Vanikan: Vanikan reserves the right to suspend or terminate a User's access to the Service for violations of these Terms.
Upon termination, Users will lose access to their account and data. Vanikan is not obligated to store data post-termination but may provide a data export option within a limited period.

13. Changes to Terms

Vanikan reserves the right to update or modify these Terms at any time. Users will be notified of any substantial changes, and continued use of the Service will be considered acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Sri Lanka.
